This agreement, consisting of the general terms and conditions for publishers below, and any amendments or orders placed via the publisher portal on the AdsHike.com website/app (collectively referred to as the “agreement”), governs all commercial relationships between AdsHike.com (“AdsHike.com”) and its publishing clients (“publisher”) regarding the provision of online ad supply services by AdsHike.com.
By accessing or using our website and any related services, you agree to be bound by the following terms and conditions (“Terms”). Please read these Terms carefully before using AdsHike.com. If you do not agree to these Terms, please do not use AdsHike.com.
- Eligibility
To use AdsHike.com, you must be at least 18 years old and capable of forming a binding contract with AdsHike.com. If you are using AdsHike.com on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
- Registration And Approval
To use AdsHike.com, you must complete the online registration process by providing complete and accurate information as prompted in the registration form. Upon completion of the registration process, AdsHike.com will process your website/mobile app/OTT-CTV approvals on our exchange. If your website/mobile app/OTT-CTV is approved by the exchange, AdsHike.com will issue you an account on our dashboard and grant you access to AdsHike.com based on the terms of this agreement. You agree to treat your dashboard credentials as confidential information and to use the dashboard solely for your benefit. You are responsible for all activities under your account and must notify us promptly in case of any unauthorized use.
- Geographic Limitations
AdsHike.com is intended for use worldwide, and you agree to only use our services in a way that is consistent with this agreement and all applicable laws and regulations. Our services may not be used where prohibited by law, and registration for or use of our services is void where prohibited. If the use of our services is not legal in your jurisdiction, you may not use them.
- Maintenance And Updates
AdsHike.com will provide you with all updates (including general bug fixes and minor enhancements) and upgrades (including enhancements and major functionality changes) for the AdsHike.com platform at no additional charge. We may occasionally need to suspend the reporting functionality of the AdsHike.com platform and/or the user interface for maintenance purposes. We will use commercially reasonable efforts to provide you with advance notice of any such suspension.
- Changes to Terms
We reserve the right to modify these terms on AdsHike.com at any time and for any reason without notice. We are not obligated to update any information on the site. We also reserve the right to modify or discontinue all or part of AdsHike.com without notice at any time. We will not be held responsible for any modification, price change, suspension, or discontinuation of AdsHike.com.
- Passwords and Logins
You are responsible for maintaining the confidentiality of your passwords and login details, and you are responsible for all activities carried out under your password and login. If you become aware of any unauthorized use of your password or login, you should immediately notify us. We are not responsible for any loss or damage arising from your failure to comply with this requirement.
- Confidentiality
We will handle all personal information you provide us with in a confidential manner in accordance with our privacy policy. However, we cannot fully guarantee the confidentiality of your use of this website due to the possibility that third parties may intercept and access such information. We will do our best to protect your privacy, but we cannot be held responsible for any breaches of confidentiality that may occur beyond our control.
- Term and Termination
This agreement will be in effect for a period of one year from the date of acceptance of the order, and will automatically renew unless terminated. The publisher may terminate the agreement by providing at least 30 days’ notice after the agreement period. AdsHike.com may terminate any order and withhold payment if AdsHike.com determines, in its sole discretion, that the publisher is engaging in behavior that may be illegal, unethical, defamatory, or otherwise harmful to AdsHike.com’s reputation or that of its advertisers or business partners. This may include, but is not limited to, situations where AdsHike.com reasonably suspects that the publisher’s supply inventory is being used for fraudulent activity or illegal practices, or if it contains content that may violate applicable laws. Fraudulent activity is defined as any activity that encourages third parties to generate impressions of or clicks on ads through automated, deceptive, fraudulent, or invalid means, including but not limited to repeated manual clicks and automated query tools, or that misleads users to click on ads, obstructs the display of ads, or changes the order of information contained in ads. The publisher is not allowed to attempt to edit website/app tags, source codes, links, pixels, modules, software development kits, or other data provided by AdsHike.com, or to reverse engineer, decompile, or disassemble any software components of the advertising services provided by AdsHike.com. At its sole discretion, AdsHike.com may credit back to advertisers and/or offset against future payments to the publisher any payments that it determines were the result of fraudulent activity or illegal activity perpetrated by the publisher. The termination of this agreement will not affect any rights and obligations of the parties that have accrued prior to such termination. Any provisions that are intended to come into effect or continue in effect after the expiration or termination of the agreement will remain in effect after the termination of this agreement.
- Privacy
We care about the privacy of our users. Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, and share information about you when you use AdsHike.com. By using AdsHike.com, you agree to the collection, use, and sharing of your information as described in our Privacy Policy.
- Intellectual Property
AdsHike.com and all content and materials included on the website, including but not limited to text, graphics, logos, images, and software, are the property of AdsHike.com or our licensors and are protected by copyright and other intellectual property laws. You may not use any content or materials on AdsHike.com for any commercial purpose without the express written consent of AdsHike.com.
- Disclaimer of Warranties
AdsHike.com is provided on an “as is” and “as available” basis. We make no representations or warranties of any kind, express or implied, as to the operation of AdsHike.com or the information, content, materials, or products included on the website. We do not warrant that AdsHike.com will be uninterrupted or error-free, and we will not be liable for any interruptions or errors.
- Limitation of Liability
We will not be liable for any damages of any kind arising from the use of AdsHike.com, including but not limited to direct, indirect, incidental, punitive, and consequential damages.
- Indemnification
You agree to indemnify and hold us and our affiliates, officers, agents, and employees harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of AdsHike.com, your violation of these Terms, or your violation of any rights of another.
- Controlling Law And Jurisdiction
By using AdsHike.com, you agree that Indian law will govern this agreement and any disputes that may arise from your use of the site and related services. You also agree to resolve any legal action or proceedings related to this agreement exclusively in the courts located in Delhi, India. You acknowledge that any violation of this agreement may cause AdsHike.com irreparable harm and therefore agree that we may seek extraordinary relief, including temporary restraining orders, preliminary injunctions, and permanent injunctions, in addition to any other rights or remedies we may have for a breach of this agreement. No bond or other security will be required to obtain this relief.
- Miscellaneous
These Terms constitute the entire agreement between you and AdsHike.com and supersede any prior agreements or understandings, whether written or oral. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. The failure of either party to exercise in any respect any right provided for herein will not be deemed a waiver of any further rights hereunder.
